Paper VII — CORPORATE REGULATIONS

Answer any FIVE questions.
All questions carry equal marks.
1. Discuss the constitutional provisions of state policy that there should not be
concentration of wealth and means of production in few hands. Explain the corporate regulations with judicial decisions to achieve the said constitutional objective.
2. Critically examine the provisions of securities and exchange board of India Act, 1992 in protecting investor’s interest.
3. What are the circumstances under which the central government takes over direct management of Industrial under takings under the Industries (development and regulation) Act 1951.
4. Distinguish between monopolistic trade practice and restrictive trade practice with special reference to the provisions of MRTP Act 1969.
5. Explain the norms of RBI to regulate Non banking financial corporation.
6. Explain the salient features of insurance regulatory and development authority act  1999.
7. State the objects and role played by Foreign Exchange Management Act to regulate exports and imports.
8. What is corporate governance and explain SEBI initiatives in improving and regulate corporate governance.
9. Define competition and explain fairness in competition.
10. Write short note on any TWO of the following :
(a) FDI (b) Public liability insurance
(c) Competition commission (d) De-materialised securities.
